Definitions
For the purpose of these Terms & Conditions, the following definitions apply:
- “Platform or UXL” Refers to the UXL ecosystem, comprising UXL.Account, UXL.Club, UXL.Exam-Prep, UXL.Alumni, and UXL.HR, collectively operated by UXL Platform.
- “User” Means any individual who registers for, accesses, or uses the Platform, whether as a Student, Alumni, Mentor, HR Professional, or any other role.
- “UXL.Account” Means the centralized authentication and identity management system providing Single Sign-On (SSO) access across all UXL sub-platforms.
- “UXL.Club” Means the central homepage and navigational hub of the UXL ecosystem.
- “UXL.Exam-Prep” Means the learning management system offering exam preparation content, practice pools, mock exams, doubt resolution, and AI-driven study tools.
- “UXL.Alumni” Means the professional networking and career development sub-platform for alumni, mentors, and job seekers.
- “UXL.HR” Means the career placement, resume building, job suggestion, and consulting-project sub-platform.
- “Content” Means all text, images, videos, PDFs, audio, practice questions, mock exams, discussion posts, blog articles, magazine content, requirement board listings, and any other material made available on or through the Platform.
- “User-Generated Content (UGC)” Means any content submitted, uploaded, posted, or shared by Users, including discussion forum posts, doubt desk queries, requirement board listings, study group messages, and profile information.
- “AI Features” Means all artificial intelligence-powered tools, including personalized study recommendations, smart exam analytics, AI-driven job suggestions, and automated career guidance.
- “Subscription” Means any paid access plan that grants Users premium features on UXL.Exam-Prep or other sub-platforms.
- “RBAC” Means Role-Based Access Control, the permission system that determines which features and content each User role may access.
Acceptance of Terms
By creating an account on UXL.Account or using any UXL sub-platform, you represent and warrant that:
- You are at least 16 years of age, or you have obtained verifiable parental or guardian consent if you are under 18 years of age.
- You have the legal capacity to enter into a binding contract under applicable law, including the Indian Contract Act, 1872.
- All information you provide during registration is accurate, current, and complete.
- You are not barred from using the Platform under any applicable law or court order.
User Accounts & Registration
Account Creation
To access the UXL Platform, Users must register an account through UXL.Account. Registration requires a valid email address or phone number, and Users may also register via supported social login providers (Google or LinkedIn). Upon registration, a verification link or OTP (One-Time Password) will be sent to confirm your identity.
Account Security
You are solely responsible for maintaining the confidentiality of your login credentials, including your password and OTP. You agree to:
- Immediately notify UXL of any unauthorized access or suspected breach of your account.
- Not share your credentials with any third party.
- Log out from your account at the end of each session, especially on shared or public devices.
Single Sign-On (SSO)
UXL.Account operates as the centralized SSO system for the entire ecosystem. A single login grants access to all sub-platforms (UXL.Club, UXL.Exam-Prep, UXL.Alumni, UXL.HR) subject to your assigned User Role and active Subscription.
Multi-Device Access
Users may access UXL on multiple devices (mobile, tablet, desktop). Simultaneous session limits may apply depending on your Subscription plan. Unauthorized concurrent session sharing is prohibited.
Profile Information
Users are required to maintain accurate and up-to-date profile information including, but not limited to, personal details, educational background, and professional history. Providing false or misleading information may result in account suspension or termination.
User Roles & Permissions
Access to Platform features is governed by Role-Based Access Control (RBAC). The following roles are currently defined:

Subscriptions, Payments & Refunds
Subscription Plans
UXL.Exam-Prep and certain features of UXL.Alumni and UXL.HR require an active paid Subscription. Subscription tiers, pricing, and included features are displayed on the Platform and are subject to change. UXL will notify existing subscribers of pricing changes at least 30 days in advance.
Payment
All payments are processed through UXL's authorized payment gateway partners. By providing payment information, you authorize UXL to charge the applicable fees. All amounts are in Indian Rupees (INR) unless otherwise specified. Applicable taxes (including GST) are additional and will be shown at checkout.
Auto-Renewal
Subscriptions may auto-renew at the end of each billing cycle unless cancelled by the User at least 48 hours before the renewal date. You may manage or cancel your Subscription from your Account Settings.
Refund Policy
Refund requests are considered on a case-by-case basis. Users may request a refund within 7 days of initial purchase, provided that no more than 20% of the course content has been accessed. Refunds are not available for Subscriptions that have been substantially utilized, for OTP-unlocked content, or for promotional or discounted purchases. Refunds, where approved, will be credited to the original payment method within 10 business days.
Acceptable Use Policy
Permitted Use
The Platform is provided solely for lawful personal and professional educational and career development purposes. You agree to use the Platform in a manner consistent with all applicable laws and regulations of India and your jurisdiction.
Prohibited Activities
Users are strictly prohibited from:
- Reproducing, distributing, selling, sublicensing, or commercially exploiting any Platform Content without UXL's prior written consent.
- Uploading, posting, or sharing any content that is defamatory, obscene, pornographic, hateful, harassing, discriminatory, or otherwise unlawful.
- Circumventing, disabling, or interfering with any security features, access controls, or digital rights management mechanisms of the Platform.
- Scraping, crawling, or using automated tools to extract data from the Platform without express written permission.
- Impersonating any person or entity, including UXL staff, instructors, or other Users.
- Sharing your account credentials, Subscription access, or downloaded course materials with unauthorized third parties.
- Using the Platform for any purpose related to academic fraud, including obtaining or distributing exam answers outside of the Platform's intended use.
- Introducing viruses, malware, or any other harmful code into the Platform.
- Interfering with or disrupting the integrity or performance of the Platform, including its servers, networks, or connected infrastructure.
- Violating the privacy of other Users, including collecting, storing, or disclosing their personal information without consent.
Consequences of Violation
Violation of this Acceptable Use Policy may result in immediate suspension or permanent termination of your account, forfeiture of any Subscription fees, legal action where warranted, and reporting to relevant regulatory or law enforcement authorities.
User-Generated Content
Your Responsibility
You are solely responsible for all content you submit to the Platform, including discussion forum posts, doubt desk queries, requirement board listings, study group messages, uploaded files, images, and any other material. By submitting UGC, you represent that you own all necessary rights to such content or have obtained all required permissions.
License Grant
By submitting UGC, you grant UXL a non-exclusive, royalty-free, worldwide, sub-licensable license to use, host, store, reproduce, modify, display, and distribute such content for the purpose of operating and improving the Platform. This license does not transfer ownership of your content.
Content Moderation
UXL reserves the right, but not the obligation, to review, monitor, edit, or remove any UGC that violates these Terms, applicable law, or UXL's Community Guidelines. Admin users may verify and pin official content. Users may report content they believe violates these Terms using the Report function available on the Platform.
Requirement Board & Job Postings
All job listings, internship postings, and consulting project requirements posted on the Requirement Board auto-expire after 30 days from posting. Users may extend listings by 15 days. UXL does not guarantee the accuracy, legitimacy, or availability of any listing on the Requirement Board and is not responsible for any employment outcomes arising from such listings.
Zoom & Third-Party Integrations
Certain features, including live class sessions, use third-party services such as Zoom. Your use of such integrated services is subject to their respective terms of service and privacy policies. UXL is not responsible for the conduct or performance of third-party service providers.
Artificial Intelligence Features
The Platform employs AI-powered features including, but not limited to, personalized study recommendations, performance analytics, AI-driven job suggestions, smart mock exam analysis, and career guidance. You acknowledge and agree that:
- AI-generated recommendations are provided for informational and educational purposes only and do not constitute professional career, financial, legal, or academic advice.
- AI suggestions are based on your usage patterns, profile data, and Platform activity. Their accuracy depends on the completeness and accuracy of your provided information.
- UXL does not guarantee any specific outcome (exam success, job placement, career advancement) arising from the use of AI Features.
- You retain the right to opt out of AI-driven personalization through your Account Settings; however, opting out may limit your access to certain personalized features.
- UXL's AI systems process data in accordance with our Privacy Policy and applicable data protection laws, including India's Digital Personal Data Protection Act, 2023 (DPDPA).
Intellectual Property
UXL Content
All Platform Content — including course lectures, video recordings, PDFs, slides, practice questions, mock exams, flashcards, Knowledge Kit materials, blog articles, magazine issues, and the Platform's software, design, trademarks, and trade dress — is owned by or licensed to UXL and is protected by applicable intellectual property laws, including the Copyright Act, 1957 (India) and the Trade Marks Act, 1999 (India).
Restricted Use
You may access Platform Content solely for your personal, non-commercial educational use. Any reproduction, redistribution, modification, publication, or creation of derivative works from Platform Content without UXL's express prior written consent is strictly prohibited and may result in civil and criminal liability.
Feedback
If you provide suggestions, ideas, or feedback about the Platform, you grant UXL a perpetual, irrevocable, royalty-free license to use such feedback without any obligation to compensate you.
Privacy
Your use of the Platform is governed by UXL's Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how UXL collects, uses, stores, and discloses your personal data. By using the Platform, you consent to UXL's data practices as described in the Privacy Policy.
Disclaimers & Limitation of Liability
Disclaimer of Warranties
The Platform is provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. UXL does not warrant that the Platform will be error-free, uninterrupted, or free of viruses or other harmful components.
Academic & Career Outcomes
UXL does not guarantee or warrant any specific academic results, exam scores, certification outcomes, or career placements. The Platform is a tool to support your preparation; outcomes depend on individual effort, aptitude, and external factors beyond UXL's control.
Limitation of Liability
To the maximum extent permitted by applicable law, UXL, its directors, officers, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Platform, even if advised of the possibility of such damages. UXL's total aggregate liability shall not exceed the amount paid by you for your current Subscription in the 3 months preceding the claim.
Account Suspension & Termination
By UXL
UXL reserves the right to suspend, restrict, or permanently terminate your account at any time, with or without notice, for any of the following reasons: violation of these Terms, fraudulent or unauthorized use, repeated infringement of intellectual property rights, conduct harmful to other Users or the Platform, or any reason UXL deems necessary in its sole discretion.
By User
You may close your account at any time by contacting UXL support at support@uxlplatform.com. Upon termination, your access to the Platform will cease. Certain data may be retained in accordance with our Privacy Policy and applicable law.
Effect of Termination
Upon termination: (a) all licenses granted to you under these Terms will immediately cease; (b) you must cease all use of Platform Content; (c) any outstanding payment obligations shall survive; (d) provisions of these Terms that by their nature should survive termination (including Sections 9, 11, 13, and 14) shall continue in full force.
Governing Law & Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, and the Consumer Protection Act, 2019, without regard to conflict of law principles.
Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform, the parties shall first attempt to resolve the dispute amicably through good-faith negotiations within 30 days of written notice. If the dispute cannot be resolved amicably, it shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, conducted by a mutually agreed sole arbitrator. The seat and venue of arbitration shall be Kolkata, West Bengal, India. The language of arbitration shall be English.
Jurisdiction
Subject to the arbitration clause above, the courts of competent jurisdiction in Kolkata, West Bengal, India shall have exclusive jurisdiction over any disputes not subject to arbitration.
General Provisions
Entire Agreement
These Terms, together with the Privacy Policy and any applicable Subscription terms, constitute the entire agreement between you and UXL regarding the Platform.
Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver
UXL's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not assign or transfer your rights or obligations under these Terms without UXL's prior written consent. UXL may assign these Terms freely without restriction.
Force Majeure
UXL shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, pandemics, government actions, or internet outages.

UXL may provide notices to you via email, in-platform notification, or by posting on the Platform. You may send notices to UXL at legal@uxlplatform.com.
